CustomerLab Website Non-Disclosure Agreement

1. AGREEMENT TO CONFIDENTIALITY

By subscribing to any CustomerLab services through this website, you ("Subscriber", "You", or "Client") agree to enter into this Non-Disclosure Agreement ("Agreement") with CustomerLab, a brand of CustomerLab, with offices in the United States and India.

This Agreement governs the protection and use of confidential information shared during your subscription, onboarding, and use of CustomerLab’s AI-based customer communication services.

 

2. DEFINITION OF CONFIDENTIAL INFORMATION

For the purpose of this Agreement, “Confidential Information” includes, but is not limited to:

  • AI system designs, source code, prompts, workflows, or deployment strategies;

  • Pricing, service logic, onboarding methodology, and internal documentation;

  • Custom Knowledgebase and business data used to train CustomerLab's systems;

  • Voice models or voice cloning outputs, if used;

  • Performance dashboards, analytics, campaign insights, and CRM integrations;

  • Any non-public information, whether technical or business-related, shared digitally or verbally by CustomerLab.

This also includes any materials generated through the CustomerLab service that are marked or would reasonably be understood as confidential.

 

3. YOUR CONFIDENTIALITY OBLIGATIONS

As a subscriber, you agree to:

  • Not disclose any Confidential Information to any third party, unless explicitly authorized by CustomerLab;

  • Use Confidential Information solely for the purpose of receiving CustomerLab services;

  • Protect all Confidential Information using reasonable care, and in no case less than the standard you apply to your own confidential materials;

  • Ensure that your employees, contractors, or agents (if any) who access CustomerLab services are bound by similar confidentiality obligations.

 

4. EXCEPTIONS

Confidential Information does not include information that:

  • Is or becomes publicly known without breach of this Agreement;

  • Is lawfully obtained by you from a third party who had the right to share it;

  • Was independently developed by you without access to CustomerLab's Confidential Information.

 

5. DISCLOSURE REQUIRED BY LAW

If you are required by law, regulation, or legal process to disclose any Confidential Information, you agree to:

  • Notify CustomerLab promptly (unless legally restricted);

  • Cooperate with CustomerLab’s efforts to seek protective orders or limit disclosure;

  • Only disclose the minimum necessary to comply with legal obligations.

 

6. RETURN OR DESTRUCTION

Upon cancellation of your subscription or upon written request, you agree to:

  • Delete or destroy all Confidential Information in your possession, including derived data, documents, or backups;

  • Confirm such destruction to CustomerLab in writing, if requested.

 

7. NO LICENSE GRANTED

This Agreement does not grant you:

  • Ownership or rights in CustomerLab’s technology, systems, branding, or methods;

  • Any license, unless explicitly granted as part of your subscription.

CustomerLab retains all rights, title, and interest in its platform, data models, AI logic, and proprietary tools.

 

8. TERM AND SURVIVAL

  • This NDA remains effective for as long as your subscription is active and for 3 years after termination of services.

  • Your confidentiality obligations regarding the use and protection of Confidential Information shall survive expiration or termination.

 

9. BREACH AND REMEDIES

Unauthorized disclosure or misuse of Confidential Information may cause significant harm. CustomerLab reserves the right to:

  • Suspend or terminate services immediately;

  • Seek legal remedies including injunctive relief, damages, and legal costs;

  • Report violations to regulatory bodies, if applicable.

 

10. GOVERNING LAW

This Agreement shall be governed by the laws of Delaware, United States, unless local consumer protection laws require otherwise. Disputes shall be resolved in the courts of Delaware, subject to jurisdictional applicability.

 

11. ACCEPTANCE

By clicking “Subscribe,” “Accept,” “Start Plan,” or otherwise engaging with CustomerLab’s services, you acknowledge that:

✅ You agree to be legally bound by its terms.
